TYPOGRAPHICAL ERRORS

In the event a product is listed at an incorrect price due to a typographical error, eVision shall have the right to refuse or cancel any orders placed for product listed at the incorrect price. eVision shall have the right to refuse or cancel any such orders whether or not the order has been confirmed.

THE eVISION SITE AND THE MATERIALS THEREIN ARE PROVIDED "AS IS," WITHOUT WARRANTIES OF ANY KIND. eVISION EXPRESSLY DISCLAIMS ANY REPRESENTATIONS AND/OR WARRANTIES, EITHER EXPRESSED OR IMPLIED, OF ANY KIND WITH RESPECT TO THE eVISION SITE, ITS OPERATION, CONTENTS, INFORMATION, OR MATERIALS. eVISION EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESSED OR IMPLIED OF ANY KIND WITH RESPECT TO THE eVISION SITE OR ITS USE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. YOU AGREE THAT eVISION, ITS SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, ATTORNEYS OR OTHER REPRESENTATIVES SHALL HAVE ABSOLUTELY NO LIABILITY IN CONNECTION WITH THE eVISION SITE, ITS OPERATION, CONTENTS, INFORMATION, AND/OR MATERIALS, INCLUDING WITHOUT LIMITATION, ANY LIABILITY FOR DAMAGE TO YOUR COMPUTER HARDWARE, DATA, INFORMATION, MATERIALS AND/OR BUSINESS RESULTING FROM THE AFOREMENTIONED CONTAINED ON THE eVISION SITE OR THE LACK THEREOF AVAILABLE ON THE eVISION SITE.

eVISION SHALL HAVE NO LIABILITY FOR (a) ANY LOSS OR INJURY CAUSED, IN WHOLE OR IN PART, BY ITS ACTIONS, OMISSIONS, OR NEGLIGENCE, OR FOR CONTINGENCIES BEYOND ITS CONTROL, IN PROCURING, COMPILING, OR DELIVERING SERVICES, INFORMATION OR DATA ON THE eVISION SITE; (b) ANY ERRORS, OMISSIONS, OR INACCURACIES IN THE SERVICES, INFORMATION OR DATA ON THE eVISION SITE, REGARDLESS OF HOW CAUSED, OR DELAYS OR INTERRUPTIONS IN DELIVERY OF THE SERVICES, INFORMATION OR DATA; OR (c) ANY DECISION MADE OR ACTION TAKEN OR NOT TAKEN IN RELIANCE UPON THE SERVICES, INFORMATION OR DATA FURNISHED HEREUNDER.
YOU AGREE THAT THIS LIMITATION OF LIABILITY IS COMPREHENSIVE AND APPLIES TO ALL DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION, DIRECT, INDIRECT, COMPENSATORY, SPECIAL, INCIDENTAL, PUNITIVE AND CONSEQUENTIAL DAMAGES.

INTELLECTUAL PROPERTY AND PROPRIETARY INFORMATION

The content and materials available on the eVision site, including but not limited to all text, graphics, logos, images, software, or other files, as well as their selection and arrangement (collectively, the "content"), are protected by copyrights, trademarks, service marks, patents or other proprietary rights or laws. The content may not be copied, reproduced, published, modified, uploaded, posted, transmitted or distributed in any way without eVision's prior written consent, except that you are authorized to make a single copy of the content for your use in learning about, evaluating or acquiring eVision products or services, as follows:

However, by posting, uploading, inputting, providing or submitting any materials to eVision or its affiliates (each a "Submission," and collectively "Submissions"), you are granting all ownership rights in such Submissions to eVision, unless otherwise specified in writing. For all Submissions, you hereby grant eVision, its affiliates and necessary sublicensees permission to use your Submission in connection with the operation of their businesses including, without limitation, the rights to: copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat your Submission; and to publish your name in connection with your Submission. No compensation will be paid with respect to the use of your Submission, as provided herein. eVision is under no obligation to post or use any Submission you may provide and eVision may remove any Submission at any time in its sole discretion.

By posting, uploading, inputting, providing or submitting your Submission, you warrant and represent that you own or otherwise control all of the rights to your Submission as described in this section including, without limitation, all the rights necessary for you to provide, post, upload, input or submit the Submissions.

ORDER ACCEPTANCE POLICY

Your receipt of any electronic or other form of order confirmation does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell. eVision reserves the right at any time after receipt of your order to accept or decline your order for any reason. eVision reserves the right at any time after receipt of your order, without prior notice to you, to supply less than the quantity you ordered of any item. All orders placed over $1,000.00 (U.S. Dollars) must obtain pre-approval with an acceptable method of payment, as established by eVision. We may require additional verifications or information before accepting any order.

DISCLAIMER AND LIMITATION OF LIABILITY AS TO PRODUCTS SOLD

EXCEPT AS EXPRESSLY STATED HEREIN, eVISION EXPRESSLY DISCLAIMS ALL WARRANTIES AND OTHER REPRESENTATIONS, EXPRESSED OR IMPLIED, OF ANY KIND WITH RESPECT TO PRODUCTS SOLD ON THIS SITE, INCLUDING BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. YOU AGREE THAT THE SOLE AND EXCLUSIVE MAXIMUM LIABILITY TO eVISION ARISING FROM ANY PRODUCT SOLD ON THE eVISION SITE SHALL BE THE PRICE OF THE PRODUCT ORDERED. IN NO EVENT SHALL eVISION, ITS SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, ATTORNEYS, AND/OR REPRESENTATIVES BE LIABLE FOR SPECIAL, INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES RELATED TO ANY PRODUCT SOLD.

JURISDICTION AND VENUE

You agree that any legal action brought against eVision, its shareholders, directors, officers, employees, agents, attorneys or other representatives, shall be governed by the laws of the State of Illinois without regard to its conflict of law principles. You agree that the sole jurisdiction and venue for any litigation arising from your use of or orders made of the eVision Site shall be an appropriate federal or state court located in Cook County, Illinois.

ADDITIONAL TERMS

Title to any goods purchased from the eVision site is retained by the Seller until such goods are paid for in full by the Purchaser, after which title passes to the Purchaser. If any goods herein being purchased are being purchased for purposes of export, it is the Purchaser's sole responsibility to appropriate export documentation from the United States Government before shipping to a foreign country. In addition, any warranties for exported goods may vary or even be null and void. eVision, its shareholders, directors, officers, employees, agents, attorneys, and/or representatives shall not be liable in any way relative to the exportation of goods purchased on the eVision site.

This Agreement operates to the fullest extent permissible by law. If any provision of this Agreement is unlawful, void or unenforceable, that provision is deemed severable from this Agreement and does not affect the validity and enforceability of any remaining provisions.
